I. Deutsch:

Mit dem Einsatz dieses Programms erklärt der Nutzer seine
Zustimmung zu sämtlichen Punkten der Lizenzbedingungen und
akzeptiert die Beschränkung der Haftung der Lizenzgeberin
und ihrer Mitarbeiter gemäß nachfolgender Bestimmungen.


1. Programminformation / Schutzrechte:

cFos (R) ist eingetragenes Warenzeichen.

Das Programm steht unter dem rechtlichen Schutz der Urheber-
und Handelsgesetze des Landes, in dem es veröffentlicht,
vervielfältigt bzw. genutzt wird.

Die cFos Software GmbH, Nordstr. 65a, 53111 Bonn,
Deutschland, nachfolgend Lizenzgeberin genannt, besitzt alle
Rechte an dem Programm cFosSpeed und gestattet die Nutzung
ausschließlich unter der Voraussetzung, dass die nachfolgend
aufgeführten Lizenzbedingungen vom Nutzer anerkannt und
eingehalten werden. Es kommt damit zwischen ihm, dem
Lizenznehmer, und der Lizenzgeberin der vorliegende
Lizenzvertrag zustande:


2. Installation:

Die Lizenzgeberin weist Sie ausdrücklich darauf hin, dass
vor der Installation jeglicher Software auf Ihrem System
eine Sicherung Ihrer Daten erfolgen sollte, um einem
eventuellen Verlust Ihrer Daten vorzubeugen. Diese
Sicherheitsmaßnahme sollte auch bei der Installation von
cFosSpeed erfolgen. Falls Sie Ihre Daten noch nicht
gesichert haben sollten, raten wir dringend, die
Installation sofort abzubrechen, Ihre Daten zu sichern und
erst darauffolgend die Installation neu zu starten. Darüber
hinaus empfehlen wir Ihnen, in regelmäßigen Abständen
Datensicherungen durchzuführen.


3. Gewährleistung:

Es gelten die gesetzlichen Gewährleistungsbestimmungen,
soweit nichts anderes vereinbart ist.

Mängelansprüche beziehen sich nicht auf natürliche
Abnutzung, ferner nicht auf Schäden, die nach Gefahrübergang
infolge fehlerhafter oder nicht bestimmungsgemäßer
Behandlung, übermäßiger Beanspruchung, ungeeigneter
Betriebsmittel und solcher elektrischer Einflüsse entstehen,
die nach dem Vertrag nicht vorausgesetzt sind. Durch etwa
durch den Lizenznehmer oder Dritte unsachgemäß vorgenommene
Installationsarbeiten, Änderungen oder Instandsetzungs- und
Wartungsarbeiten werden Mängelansprüche ausgeschlossen.


4. Haftung:

Bei Schäden, die von der Lizenzgeberin verursacht wurden,
haftet diese bei Vorsatz und grober Fahrlässigkeit nach den
gesetzlichen Bestimmungen.

Das Gleiche gilt bei fahrlässig verursachten Schäden aus der
Verletzung des Lebens, des Körpers oder der Gesundheit.

Bei fahrlässig verursachten Sach- und Vermögensschäden
haftet die Lizenzgeberin nur bei der Verletzung einer
wesentlichen Vertragspflicht, jedoch der Höhe nach
beschränkt auf die bei Vertragsschluss vorhersehbaren und
vertragstypischen Schäden; wesentliche Vertragspflichten
sind solche, deren Erfüllung den Vertrag prägen und auf die
der Lizenznehmer vertrauen darf. Soweit die Haftung
vorstehend ausgeschlossen oder eingeschränkt ist, gilt dies
auch im Hinblick auf die persönliche Haftung der
Arbeitnehmer, Mitarbeiter und Organe der Lizenzgeberin sowie
ihrer Erfüllungs- und Verrichtungsgehilfen einschließlich
deren Arbeitnehmer, Mitarbeiter und Organe.

Befindet sich die Lizenzgeberin während des Eintritts einer
Unmöglichkeit in Verzug, so haftet sie für den durch die
Unmöglichkeit ihrer Leistung eingetretenen Schaden ohne
Beschränkung; nicht jedoch für den Fall, in dem der Schaden
auch bei rechtzeitiger Leistung eingetreten wäre.

In allen übrigen Fällen ist die Haftung ausgeschlossen. Eine
mögliche Haftung nach dem Produkthaftungs- und
Produktsicherheitsgesetz bleibt unberührt.


5. Nutzungsumfang:

Die Software ist urheberrechtlich zugunsten der
Lizenzgeberin geschützt. Veröffentlichungs-,
Vervielfältigungs-, Bearbeitungs- und Verwertungsrechte an
der Software liegen allein bei der Lizenzgeberin. Alle
Urheberrechts- und sonstige in der Software befindlichen
Vermerke wie Registriernummern und Hinweise auf die
Lizenzgeberin dürfen nicht entfernt werden. Jede weitere
Einbringung in andere Software jeglicher Art wird dem
Lizenznehmer untersagt.


a. Abweichende Bedingungen für die Shareware-Version
(cFosSpeed Shareware):

Sie erkennen die Shareware-Version daran, dass beim
Programmstart und/oder in dem Kontext-Menü (zu erreichen
durch Rechtsklick im Statusfenster oder Taskleisten-Symbol)
während des Betriebs der Hinweis "Sie können _PROG noch XX
Tage testen, bevor Sie kaufen". "XX" steht hierbei für die
Anzahl der noch verbleibenden, anfänglich 30 Tage
betragenden kostenlosen Nutzungszeit. Darüber hinaus ist die
Shareware nicht personalisiert.

Sollten Sie hinsichtlich der Einordnung Ihrer Version von
cFosSpeed unsicher sein bzw. diese nicht vornehmen können,
so liegt im Zweifel eine kostenpflichtige Version vor, für
die die weiteren abweichenden Bedingungen unter 5. b. dieser
Nutzungslizenz Anwendung finden.

Das Programm wird herausgegeben, wie es ist, und darf in der
Version 12.50.2525 nur unter Berücksichtigung der
nachfolgenden Einschränkungen frei benutzt werden:

Das Programm cFosSpeed darf in unmodifizierter Form, wie es
von der Lizenzgeberin zur Verfügung gestellt wurde,
vervielfältigt, veröffentlicht und verbreitet werden, soweit
keine Gebühren für die Nutzung, Verteilung,
Veröffentlichung, Verbreitung und/oder Vervielfältigung
erhoben werden.

Die kostenlose Nutzung des Programms ist auf 30 Tage
beschränkt. Danach ist der Nutzer verpflichtet, alternativ
die weitere Nutzung zu unterlassen oder eine
kostenpflichtige Nutzungslizenz an cFosSpeed zu erwerben.

Die Autoren weisen darauf hin, dass cFosSpeed, in der
jeweils aktuellen Shareware Version, auch von Herstellern
und Händlern von Hard- und/oder Software, einschließlich
Shareware-Versendern, CD-ROM-Herstellern und Zeitschriften-
sowie Buch-Verlagen zur Aufnahme auf Heft-CDs bzw. Büchern,
kostenlos verteilt, verbreitet und vervielfältigt werden
darf, soweit keine, die üblichen Entgelte für Shareware-
Programme und -Sammlungen übersteigende Beträge verlangt
werden.

Im Zusammenhang mit der Veröffentlichung sind Dritte darauf
hinzuweisen, dass es sich bei cFosSpeed um ein Shareware-
Programm handelt.

Jede weitergehende Nutzung ist dem Lizenznehmer nur in dem
von § 69d und § 69e des deutschen Gesetzes über Urheberrecht
und verwandte Schutzrechte (Urhebergesetz) bestimmten Umfang
gestattet. Wenn und soweit sich aus diesen Vorschriften
nichts anderes ergibt, ist es dem Lizenznehmer insbesondere
untersagt,

 - das Programm oder einzelne Programmteile an Dritte
entgeltlich weiterzugeben oder einem Dritten entgeltlich
sonst wie zugänglich zu machen, insbesondere in Form der
Miete;

 - die Software abzuändern, zu übersetzen,
zurückzuentwickeln, zu entkompilieren oder entassemblieren;

 - abgeleitete Werke zu erstellen.


b. Abweichende Bedingungen für die kostenpflichtige Version:

Sie erkennen die kostenpflichtigen Version an dem Eintrag
"Lizenz für ..." beim Programmstart und/oder im Kontext-Menü
(zu erreichen durch Rechtsklick im Statusfenster oder
Taskleisten-Symbol) während des Betriebs von cFosSpeed,
wobei "..." durch einen Hinweis auf den jeweiligen
Lizenznehmer ersetzt wird.

Sollten Sie hinsichtlich der Einordnung Ihrer Version von
cFosSpeed unsicher sein bzw. diese nicht vornehmen können,
so liegt im Zweifel eine kostenpflichtige Version vor, für
die die abweichenden Bedingungen dieses Abschnitts Anwendung
finden.

Die Lizenzgeberin gewährt dem Lizenznehmer für die Dauer des
vorliegenden Vertrages ein einfaches, nicht ausschließliches
und persönliches Recht, das Programmpaket cFosSpeed auf
einem einzelnen Computer und nur an einem Ort, zu nutzen.
Jede weitergehende Nutzung ist nicht gestattet.

Der Lizenznehmer erhält durch den Erwerb des Programmpaketes
allein das Eigentum an einem körperlichen Datenträger,
soweit nicht die Überlassung des Lizenzmaterials auf dem Weg
der Datenfernübertragung erfolgt. Bei beiden
Überlassungsalternativen ist ein Erwerb von weitergehenden
Rechten als den benannten nicht verbunden.

Das Anfertigen von bis zu drei Reservekopien ist nur zu
Datensicherungszwecken zulässig.

Jede weitergehende Nutzung ist dem Lizenznehmer nur in dem
von § 69d und § 69e des deutschen Gesetzes über Urheberrecht
und verwandte Schutzrechte (Urhebergesetz) bestimmten Umfang
gestattet. Wenn und soweit sich aus diesen Vorschriften
nichts anderes ergibt, ist es dem Lizenznehmer insbesondere
untersagt,

 - das Programm oder einzelne Programmteile an Dritte
weiterzugeben oder einem Dritten sonst wie zugänglich zu
machen, insbesondere in Form der Leihe oder Miete;

 - die Software über ein Netz oder einen
Datenübertragungskanal von einem Computer auf einen anderen
Computer zu übertragen;

 - die Software abzuändern, zu übersetzen,
zurückzuentwickeln, zu entkompilieren oder entassemblieren;

 - abgeleitete Werke zu erstellen.


6. Dauer des Vertrages:

Der Vertrag ist zeitlich nicht befristet. Jede
Zuwiderhandlung des Lizenznehmers gegen die
Lizenzbestimmungen verwirkt das Nutzungsrecht, ohne dass es
seitens der Lizenzgeberin einer Kündigung bedarf.


7. Schadensersatz bei Vertragsverletzung:

Der Lizenznehmer haftet für alle Vermögensschäden, die der
Lizenzgeberin aufgrund von Verletzungen des Urheberrechts
oder einer Verletzung dieser Vertragsbestimmungen entstehen.


8. Änderungen und Aktualisierungen:

Die Lizenzgeberin ist berechtigt, die Software nach eigenem
Ermessen zu aktualisieren. Sie ist nicht verpflichtet, dem
Lizenznehmer etwaige Aktualisierungen zur Verfügung zu
stellen.


9. Rechte Dritter:

In der Dokumentation und den zugehörigen Dateien zu
cFosSpeed benennt die Lizenzgeberin Produkte Dritter, die
mit Urheber-, Warenzeichen- und sonstigen Rechten belegt
sind. Mit dem Einsatz des Programmes cFosSpeed erkennt der
Nutzer sämtliche diesbezüglichen Rechte an.


10. Sonstiges:

DIE NUTZUNG DIESES PROGRAMMS FÜR MILITÄRISCHE,
ATOMTECHNISCHE, POLITISCH RADIKALE UND/ODER
AUSLÄNDERFEINDLICHE ZWECKE IST AUSDRÜCKLICH VERBOTEN.

cFosSpeed darf nicht zur Entwicklung von Konkurrenzprodukten
verwendet werden.

Wenn die Lizenzbestimmung eine Lücke enthält oder einzelne
Lizenzbestimmungen ganz oder teilweise unwirksam sind oder
werden, gilt eine Bestimmung als vereinbart, die dem
beabsichtigten Zweck der fehlenden oder unwirksamen
Bestimmung am nächsten kommt.


11. Anwendbares Recht:

Es gilt das Recht der Bundesrepublik Deutschland unter
Ausschluss des Internationalen Privatrechts und des UN-
Kaufrechts. Im Geschäftsverkehr mit Verbrauchern innerhalb
der Europäischen Union kann auch das Recht am Wohnsitz des
Verbrauchers anwendbar sein, sofern es sich zwingend um
verbraucherrechtliche Bestimmungen handelt.


12. Gerichtsstand:

Im Geschäftsverkehr mit Kaufleuten und mit juristischen
Personen des öffentlichen Rechts wird für alle aus dem
Vertrag sich ergebenden Rechtsstreitigkeiten als
Gerichtsstand Bonn vereinbart; wir sind auch berechtigt, an
Ihrem Sitz zu klagen.

The original version of this Public License and Warranty is
in German. Foreign-language versions like this version are
intended for information purposes only, as a service to our
non-German speaking customers. Every effort was made to
accurately convey purpose and meaning of the provisions set
forth in the original German license agreement. In the event
of any ambiguity, inconsistency, conflict or contradiction
between the German version and any translation thereof, the
German version and its wording shall prevail.

By using cFosSpeed (hereinafter also referred to simply as
"the Program"), users acknowledge and accept all terms and
conditions of the License Agreement, while also accepting
that liability of the cFos Software GmbH, Nordstr. 65a,
53111 Bonn (hereinafter referred to as "the Licensor"), and
its staff shall be limited as per the following provisions:


1. Program Information / Copyright:

cFos (R) is a registered trademark.

The Program is protected by copyright and commercial law and
regulations of the country in which it is published,
duplicated, and/or used.

The Licensor reserves all rights to the Program, granting
the right to its use under the sole condition that the user
acknowledge and comply with the license terms set forth
hereunder. Upon such acceptance by the end user (hereinafter
also referred to as "the Licensee"), the subsequent License
Agreement shall take effect:


2. Installation:

To avoid any potential loss of data, the Licensor explicitly
advises to back up data before installing any new software
on your system. This precaution should also be taken when
installing the Program.

If you have not backed up your data at this point, we urge
you to abort the installation process immediately, back up
your data, and restart installation after the backup has
been completed. We further recommend you get into the habit
of making backup copies at regular intervals.


3. Warranty:

Barring any individual agreement to the contrary, all
pertinent statutory warranty provisions shall apply.

Valid warranty claims may never be based on natural
depreciation nor on any damage or defect arising after the
risk has passed to the Licensee, especially inasmuch as such
damage or defect is caused by improper handling, by
inordinate strain or wear, by incompatible materials and
resources, or by unanticipated electrical reactions not
included within the scope of contractual considerations.
Warranty claims are likewise excluded in the event of
improper installation, modification, or maintenance and
repair by the Licensee or a third party.


4. Liability:

The Licensor is liable for any damages caused with intent or
due to gross negligence on its part according to the full
extent of all pertinent statutory provisions. The same shall
apply for any damages to a customer's life, body, or health
for which the Licensor is held legally culpable.

The Licensor shall further be liable for property damages
caused by simple negligence but only if such behavior
constitutes a violation of a cardinal contractual obligation
(i.e., an obligation that is essential to a contract and on
the fulfillment of which the Licensee may reasonably rely).
In such an event, damages shall be limited to an amount that
would typically be anticipated at the time the agreement was
entered into.

If the Licensor was delayed in performing its obligation at
the time the obligation became impossible to fulfill, the
Licensor is fully responsible for any resulting damages.
However, this does not apply if said damages would also have
been incurred had the obligation been met in time.

For all other cases, any liability whatsoever is waived
altogether. Liability pursuant to the German Product
Liability Act is not affected.

Inasmuch as liability of the Licensor is limited or excluded
as described above, this shall to the same extent apply to
the Licensor's employees and subsidiaries, as well as to any
agents or contractors solicited by the Licensor, including
the employees and subsidiaries of such agents or
contractors.


5. Scope of Use:

The Licensor owns full copyright to the software and retains
all rights to publication, duplication, processing and
evaluation of the program. Neither registration numbers nor
any references to copyright or the Licensor itself may be
removed from the software. Likewise, the Licensee is
absolutely prohibited from integrating the program or any
part thereof into any other software.


a. Special Conditions Applying for the Shareware Version
(cFosSpeed Shareware):

The shareware version of cFosSpeed can be recognized easily
enough by a reminder reading "You may try _PROG for XX days
yet before purchasing". This brief message will appear
during startup and/or operation in the context menu
(accessible by right-clicking on the status window or
taskbar icon). The "XX" represents the number of days of
free usage still remaining (starting at 30). In addition,
the shareware version is not personalized.

If in doubt (e.g., because you are unable to ascertain what
version of cFosSpeed you are using), it should be assumed
your version is liable to costs (i.e., cFosSpeed). In this
case, the special conditions listed below under 5. b. of
this license shall apply.

The program is distributed AS IS and may be used freely in
the version 12.50.2525, subject to the following
limitations:

The program cFosSpeed may be duplicated, published and
distributed in unmodified form (as provided by the Licensor)
as long as no fees are charged for its use, distribution,
publication, redistribution and/or duplication.

Free use of the program is restricted to 30 days after which
the user must either cease its use or purchase a licensed
copy of cFosSpeed. For further information, please refer to
our website https://www.cfos.de/de/cfosspeed/cfosspeed.htm .

The authors would also like to point out that cFosSpeed - in
its latest shareware version - may be distributed,
redistributed, and duplicated free of charge by
manufacturers and vendors of hardware and/or software. The
same applies for shareware distribution companies and
manufacturers of CD-ROMs (including those producing CD-ROMs
for magazines, journals, books and/or periodicals). In
either case, this is permissible only if no fees exceeding
usual and customary rates for shareware programs and
collections are claimed.

In connection with its publication, third parties must be
informed that cFosSpeed is a shareware program.

Any use beyond this is only permitted to the extent descrbed
inn articles 69d and 69e of the German Act on Copyright and
Related Rights (UrhG). Unless otherwise indicated in these
provisions, the Licensee is expressly prohibited from:

 - passing on the software package or individual parts
thereof or making it otherwise available to third parties,
in particular through lease or rental;

 - modifying, translating, reverse engineering, de-
compiling, or disassembling the software;

 - producing derivative works or products.


b. Special Conditions Applying for the Full Version
(cFosSpeed, liable to costs):

The full version of cFosSpeed can be identified by the
"Licensed to ..." entry that will appear during program
startup and/or operation of cFosSpeed in the context menu
(accessible by right-clicking on the status window or
taskbar icon), whereby "..." is replaced with the name of
the individual Licensee.

If in doubt (e.g., because you are unable to ascertain what
version of cFosSpeed you are using), it should be assumed
your version is liable to costs (i.e., cFosSpeed). In this
case, the special conditions listed in this section apply.

The Licensor grants the Licensee for the duration of this
Agreement a simple, non-exclusive, personal right to use the
cFosSpeed program package on a single computer and at one
location only. Any use beyond this is not permitted.

In those cases where the program package is not obtained via
direct data transmission, the Licensee acquires ownership
only of the physical data carrier. In both instances, no
rights are granted beyond those listed in this License
Agreement.

Creating up to three copies is permitted for data backup
purposes only.

Any use beyond this is only permitted to the extent descrbed
inn articles 69d and 69e of the German Act on Copyright and
Related Rights (UrhG). Unless otherwise indicated in these
provisions, the Licensee is expressly prohibited from:

 - passing on the software package or individual parts
thereof or making it otherwise available to third parties,
in particular through lease or rental;

 - transferring the software via a network or data
transmission channel from one computer to another;

 - modifying, translating, reverse engineering, de-
compiling, or disassembling the software;

 - producing derivative works or products.


6. Duration of the Agreement:

This Agreement is open-ended (non-expiring). However, any
infringement of the license conditions on the part of the
Licensee will result in immediate annulment of the rights of
use, without the Licensor having to terminate the Agreement.


7. Damages in the Event of Infringement:

The Licensee accepts full responsibility for any property
damages that the Licensor suffers as a result of copyright
infringement or violation of any contractual provisions by
the Licensee.


8. Modifications and Updates:

The Licensor is entitled to update the software at its own
discretion. However, the Licensor is under no obligation to
make any such updates available to the Licensee.


9. Third party rights:

The cFosSpeed documentation and corresponding files make
reference to third-party products that are themselves
subject to copyright, trademarks, and numerous other rights.
By using the cFosSpeed program, the user also acknowledges
all of those rights.


10. Miscellaneous:

USE OF THIS PROGRAM FOR MILITARY PURPOSES OR FOR ANY ENDS OR
MEANS IN SUPPORT OF NUCLEAR ENERGY OR EXTREMIST, RACIST
AND/OR XENOPHOBIC POLITICAL ACTIVITY IS EXPRESSLY FORBIDDEN.

cFosSpeed may under no circumstances be used for the
development of competitive products.

If any provision of this agreement shall be held to be
illegal, invalid, unenforceable, or otherwise void, the
remaining provisions shall remain in force and effect. The
void provision shall then be replaced with a legally
acceptable provision which comes closest to the intention
underlying the original provision.


11. Applicable Law:

Where possible, only laws of the Federal Republic of Germany
shall apply. This means that, for instance, neither the
provisions of the UN Convention on Contracts for the
International Sale of Goods (CISG) nor any other bilateral
or multilateral agreements or conventions, like
international private law, shall apply. For transactions
with consumers within the European Union, pertinent law(s)
at the place of residence of the consumer may apply as well,
insofar as such provisions clearly and necessarily serve the
purpose of consumer protection.


12. Jurisdiction and legal venue:

Place of jurisdiction and sole legal venue for all disputes
resulting directly or indirectly from the contractual
relationship shall be Bonn if the customer is a merchant as
defined in the German Commercial Code (pursuant §§ 1 to 3
HGB). The same shall apply if the customer is either a
public separate estate, a legal fund or an entity under
public law. However, we do reserve the right to file a claim
or complaint at the customer’s place of business or
residence.
